Adding & Removing Board Seats Bylaws Amendment (Review Open)

In an effort to define the Board's ability and procedure to add, remove, and update Board positions and functions to reflect current and future needs, the OPHA Board of Directors has prepared the following amendment. Please find our current bylaws here and a version with the highlight proposed amendment here. The amendment is also provided below.

Proposed Amendment

The OPHA Board may, following a proposal from the President and a majority vote, choose to add one or more additional Board seats. Additional seats will typically be added at the beginning of a new Board term. In the context of an emergent need, however, the Board may choose to add a seat during an ongoing Board term. This may be done through a majority vote. The Board may also eliminate an existing Board seat through a majority vote. The elimination of a Board seat may only take effect at the beginning of a new board term.

Per OPHA's current bylaws, 

These Bylaws may be amended by a majority of the current Association members who voted. Bylaws amendments must be submitted in writing to the Board of Directors and to the membership at least 30 days prior to the vote. In accordance with this policy, select Board members prepared amendments and presented them in writing to the full Board of Directors on Friday, April 11, 2025. With approval from the Board of Directors, these amendments will be made available to the membership for review from Monday, May 12 to Wednesday, June 11. A poll to vote on the proposed the amendment will be linked here, open Thursday, June 12 and close Monday, July 14, 2025. Only active OPHA members are permitted to vote.

2024 Bylaws Update (Closed)

In an effort to align existing and prospective organizational practices with our bylaws, the OPHA Board of Directors has prepared amendments to our existing bylaws, last updated in 2017. Please review our current bylaws here and our proposed amendments here.

Per OPHA's current bylaws,

In accordance with this policy, select Directors prepared amendments and presented them in writing to the full Board of Directors on Wednesday, September 11, 2024. With approval from the Board of Directors, these amendments are available to the membership for review from Tuesday, September 24, 2024 to Thursday, October 24, 2024.


A poll of the membership to approve the amendment was live on Monday, October 28, 2024 and closed Friday, November 1, 2024. Voting members adopted the amendment.
